1. Acceptance of Terms

By creating an account or using the Repuko platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not access or use the Service. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Repuko ("we," "us," or "our").

2. Description of Service

Repuko is an independent reputation management platform that enables business owners and their authorized representatives to:

Connect and manage their business profile listings.
Monitor, read, and analyze public customer reviews.
Draft and post responses to public reviews (with explicit user approval).
Track local competitor rankings and performance benchmarks.
Generate analytics reports and actionable insights.

Our Service integrates with third-party business listing APIs. Your use of the Service is also subject to the applicable terms and policies of those platforms.

3. Account Registration & Eligibility

You must be at least 18 years of age to use the Service.
You must provide accurate, complete, and current registration information.
You are responsible for maintaining the confidentiality of your account credentials.
You must immediately notify us of any unauthorized use of your account.
You may only use the Service to manage business profiles that you own or are explicitly authorized to manage on behalf of the business owner.

4. API Usage & Compliance

As a user of our Service, you acknowledge and agree to the following:

4.1 Authorization & Transparency

You authorize Repuko to access, display, and manage your business profile data on your behalf, strictly within the scope of the Service's functionality.
When you connect your business profile, Repuko requests the business.manage OAuth scope. This grants us access to your business listings, reviews, and performance data. No other account data (such as email, contacts, or cloud storage) is accessed.
We will provide transparent reporting of all actions taken on your business profile within the Repuko dashboard.
If our Service makes changes to your account (e.g., posting a reply to a review), we will provide you with notice within 48 hours.

4.2 Review Responses

Repuko may generate AI-assisted draft replies to reviews. These drafts are suggestions only and will never be posted without your prior, specific, and express consent.
All review responses must comply with the content policies of the respective platform.
You are solely responsible for the content of any review response posted through the Service.

4.3 Prohibited Uses

You agree that you will not use the Service to:

Engage in review gating, review manipulation, or fraudulent review solicitation.
Automatically post review replies or listing edits without your express consent for each action.
Automatically revert changes made by third-party platforms to your business profile.
Access or manage business profiles that you do not own or are not authorized to manage.
Use the Service for lead generation, scraping, or any purpose outside the scope of managing your own business profile.
Violate any applicable third-party platform policies or terms of service.

4.4 Independence

Repuko is an independent company. Use of the Service does not create, suggest, or imply a partnership with, sponsorship by, or endorsement by any third-party platform. Any trademarks or brand names referenced within the Service belong to their respective owners.

5. Termination & Account Disconnection

You may terminate your account at any time through your dashboard settings or by contacting us.
Upon termination, we will immediately disassociate your business profile from our Service, revoke all API access tokens, and relinquish and remove all management permissions accordingly.
Upon request, we will provide you with an export of your data (reviews, analytics, and reply history) in a standard format within fourteen (14) business days.
We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms or any applicable third-party policies.
Upon termination, your right to use the Service ceases immediately. Cached API data will be purged within thirty (30) days.

6. Fees & Billing

Certain features of the Service require a paid subscription. Pricing details are available on our Pricing page.
Subscriptions renew automatically unless cancelled before the renewal date.
We reserve the right to change pricing with thirty (30) days' advance notice.
Refunds are provided in accordance with our refund policy. Contact support@repuko.com for details.

7. Intellectual Property

All rights, title, and interest in the Service (including software, design, branding, and documentation) are owned by Repuko. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during the term of your subscription.

Third-party brand features displayed within the Service (such as logos and attribution) are the property of their respective owners and are displayed in compliance with applicable brand guidelines.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

Our Service depends on third-party APIs and platforms that may experience downtime, rate limiting, or policy changes beyond our control. We do not guarantee uninterrupted access to third-party data or services.

9. Limitation of Liability

To the maximum extent permitted by law, Repuko shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Repuko and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Demo Account for Review

In compliance with API platform policies, upon request from the applicable platform, we will provide a demo account of the Service within seven (7) days. The demo will be a live version of the tool, or a demo with equivalent functionality, for compliance review purposes.

12. Modifications to the Service & Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time. We may also update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service. Your continued use after changes take effect constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the applicable laws of your jurisdiction, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the competent courts of the applicable jurisdiction.
